User Generated Content Terms & Conditions

These Terms & Conditions (“Terms”) govern the submission of photos, videos, text, audio, graphics, or other materials (collectively, “Content”) by customers, users, or participants (“You” or “Your”) to Aftermarket Performance Express Inc. dba Apex Wheels (“Apex Wheels,” “The Company,” “We,” “Us,” or “Ours”)[Your Company Name] (“Company,” “We,” “Us,” or “Our”). By submitting Content to the Company, You agree to these Terms.

1. License Grant

By submitting Content, You hereby grant to the Company, its affiliates, successors, licensees, agents, and assigns a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, transferable, and sublicensable license to:

  • Use, reproduce, modify, adapt, translate, create derivative works from, distribute, transmit, publicly display, publicly perform, and otherwise exploit such Content, in any media or format, whether now known or later developed;
  • Use Your name, username, likeness, voice, and any other personal attributes included in the Content;
  • Combine the Content with other materials and use it in advertising, marketing, promotions, packaging, merchandising, publicity, and any other commercial or non-commercial purposes.

2. Ownership

  • You retain ownership of the Content.
  • You acknowledge that the rights granted to the Company under these Terms are broad and unrestricted, and You will not be entitled to any compensation, royalties, or notice for the use of Content by the Company.

3. Representations & Warranties

By submitting Content, You represent and warrant that:

  1. You are the sole owner of the Content or have obtained all rights, licenses, consents, and permissions necessary to submit the Content and grant the license above;
  2. The Content does not infringe, misappropriate, or otherwise violate any copyright, trademark, trade secret, privacy, publicity, or other proprietary rights of any third party;
  3. The Content does not contain any defamatory, obscene, unlawful, or otherwise offensive or objectionable material, including content that contains malicious code.
  4. Any identifiable persons appearing in the Content have given their consent for such use consistent with these Terms.
  5. Submissions that violate any of these terms will not be considered.

4. Release & Waiver

You release, discharge, and agree to hold harmless the Company and its officers, directors, employees, agents, successors, licensees, and assigns from any claims, demands, or causes of action that You, Your heirs, executors, administrators, or assigns may have by reason of the use of the Content in accordance with these Terms.

5. No Obligation to Use

The Company is under no obligation to use, post, or otherwise exploit any Content. The Company may remove, edit, or decline to use Content at its sole discretion.

6. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your breach of these Terms;
  • The Content You submit;
  • Any violation of law or third-party rights.

7. Privacy & Personal Data

8. Termination

The Company may terminate these Terms or revoke Your rights to participate in any User Generated Content (“UGC”) campaign at any time without notice. The license granted to the Company shall survive any termination.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of California, USA. Any disputes shall be subject to the exclusive jurisdiction of the courts of California, USA.

10. Miscellaneous

  • These Terms constitute the entire agreement between You and the Company regarding Content submissions.
  • If any provision is found unenforceable, the remainder shall remain in full force and effect.
  • The failure of the Company to enforce any right shall not constitute a waiver.

Consent

By submitting Content, You confirm that You have read, understood, and agree to these Terms. If You do not agree, do not submit Content.
